Agreement to terms
By accessing or using the services, you agree to these terms and any order form, subscription agreement, or policy that references them.
If you use the services on behalf of an organization, you represent that you have authority to bind that organization.
Use of the services
You may use the services only in accordance with these terms, applicable documentation, and applicable laws.
You are responsible for your users, credentials, account activity, data submissions, and configurations.
Customer content
You retain ownership of content and data submitted to the services. You grant Sunspot the rights needed to host, process, transmit, and display that content to provide the services.
You are responsible for ensuring that you have the necessary rights and permissions for content submitted to the services.
Restrictions
You may not misuse the services, attempt unauthorized access, interfere with service integrity, reverse engineer protected elements, or use the services to violate law or third-party rights.
You may not resell, sublicense, or provide access to the services except as expressly allowed in a written agreement.
Fees and payment
Fees, billing intervals, payment terms, taxes, renewals, and cancellation terms are described in the applicable order form or subscription checkout.
Late payments may result in suspension or termination of access after reasonable notice where required.
Confidentiality
Each party may receive confidential information from the other and must use reasonable care to protect it.
Confidential information may be used only to perform obligations or exercise rights under the applicable agreement.
Disclaimers and limitations
The services are provided on an as-is and as-available basis except as expressly stated in a written agreement.
To the maximum extent permitted by law, Sunspot disclaims implied warranties and limits liability for indirect, incidental, consequential, special, exemplary, and punitive damages.
Termination
Either party may terminate access as described in the applicable agreement or if the other party materially breaches these terms and fails to cure the breach within a reasonable period.
Provisions that by their nature should survive termination will remain in effect.
